Welcome to the Wines of Ontario Digital Wine Tour Guide, a website and application (the "Platform"), operated by the Wine Marketing Association of Ontario ("Company", "we", "us", or "our") intended to help you learn about Ontario's wine country offerings. By accessing or using this Platform, you agree to the following Terms and Conditions (the "Terms").

The Platform is intended to help you learn about Ontario wines and wineries. The information regarding third party wineries and products is provided by those third parties, may change, and may not be up to date. For example, hours of operation, products, vintages and services are subject to change without notice. The Wine Marketing Association of Ontario cannot be held responsible for the information provided by third parties, or for the actions, claims or policies of any of these third parties, wineries or other advertisers, including the wineries listed on the Platform. For up to date information, please contact the winery or other advertiser whose products or services you are interested in.

1. Eligibility & Age Verification

This Platform is intended solely for individuals who are of legal drinking age in Ontario (19 years or older). If you are not at least 19, you may not access or use the Platform.

By accessing or using the Platform, you represent and warrant that:

• You are at least 19 years of age, and
• You are legally permitted to consume alcohol in your jurisdiction.

We reserve the right to restrict, suspend, or terminate access to any user who does not meet these requirements or who provides false or misleading information.

2. Use of the Platform and User Conduct

You agree to use the Platform only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the Platform. Without limiting the foregoing, you agree that you shall not use the Platform to:

1. disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to gain unauthorized access to any portion of the Platform;
2. use, copy, modify, download or transfer the Platform or any component of the Platform, in whole or in part, except as expressly provided in these Terms;
3. (i) reverse engineer, disassemble, decompile, or translate the Platform or any component of the Platform; (ii) attempt to derive the source code of the Platform or any component of the Platform; (iii) create any derivative work from the Platform or any component of the Platform; and/or (iv) authorize or assist any third party to do any of the foregoing;
4. rent, lease, loan, resell, or otherwise distribute the Platform or any component of the Platform;
5. remove or alter any proprietary notice or legend regarding our, or any third party's, proprietary rights in the Platform or any component of the Platform;
6. remove, circumvent or disable any rights management or protection tools we use on the Platform or in respect of the Platform or any component of the Platform;
7. use the Platform or any component of the Platform except in accordance with these Terms and all applicable laws and regulations;
8. collect information about others without their consent; and/or
9. upload, post, email, transmit or otherwise make available any content that you do not have the right to disclose or make available.

Further, you hereby agree that you shall not engage in prohibited or unauthorized use of the Platform, or of our systems, including, but not limited to, unauthorized entry into the systems, misuse of passwords, or misuse of any information on the Platform.

By using the Platform and providing User Content (defined below), you acknowledge, agree, warrant and represent to Company that any and all User Content (in any format or media) you provide:

1. is original to you and that you have obtained all necessary rights in and to the User Content and all of its components (if applicable) to post, upload, or otherwise submit it to or through the Platform and grant us the license described below;
2. does not violate any law; and
3. complies with these Terms.

Without limiting the generality of the foregoing, you also acknowledge, agree, warrant and represent to Company that:

1. you shall be responsible for all acts or transactions that occur under your account, including, without limitation, for ensuring the accuracy, reliability or completeness of any and all User Content you upload, post or otherwise transmit to or through the Platform;
2. we cannot (nor are we required to) guarantee the accuracy, reliability or completeness of any User Content; and
3. we do not generally screen or edit User Content, but that we reserve the right, in our sole and absolute discretion and at any time, to monitor, edit or otherwise remove, without any notice and without obligation or incurring any liability, any User Content (or any portion of any User Content) on the Platform.

3. User Accounts

To access certain features on the Platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information, and to update such information if it changes,
• Maintain the confidentiality of your login credentials, and
• Accept responsibility for all activities that occur under your account.

It is your responsibility to keep your login credentials confidential and secure. In the event that your login credentials are used without your consent or that you discover any other breach of security, you agree to promptly notify us. We are not responsible for your failure to comply with this clause, or for any delay in shutting down your account after you have reported a breach of security to us.

We reserve the right to suspend or terminate any accounts and any users that violate these Terms.

4. Content and Information

The Platform provides curated information about wineries, wine regions, and related experiences in Ontario. While we strive for accuracy and relevance, we do not guarantee that all content is complete, current, or error-free.

We may modify or remove content at any time without notice or liability.

5. User-Generated Content

Certain features and/or portions of the Platform may permit you to transmit content that you have created to us ("User Content"). If you submit User Content, including any reviews, ratings, or other materials, you agree that you shall not submit any User Content that in the sole and absolute discretion of Company:

• may degrade, disparage, tarnish or deprecate Company and/or the public image or standing in the community of Company provided it is understood that this shall not be interpreted to prohibit you from expressing your true and honest experience with Company or its services or products in a manner prohibited under applicable law;
• is deemed to be defamatory, trade libelous, pornographic or obscene;
• is deemed to contain, depict, include, discuss or involve, without limitation, any of the following: nudity; drug consumption or smoking; illegal consumption of alcohol; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups; content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of other individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, solicitations for products or services other than products of Company; trademarks, brands and/or logos, in any manner that violates the intellectual property rights of the owner; conduct or other activities in violation of these Terms; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by Company in its sole and absolute discretion;
• contains any reference to or likeness of any identifiable third parties, unless consent has been obtained from each such individual;
• infringes, or might infringe, the intellectual property rights, privacy rights, rights of publicity, or other proprietary rights of others or give rise to any claims for payment whatsoever;
• contains any viruses, trojan horses, time bombs, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; and/or
• contains (in any format or media) any music, or other copyrighted materials (e.g. photographs, pictures, texts, lyrics, etc.) in any manner that violates the intellectual property rights of the owner.

By using the Platform and providing User Content, you: (i) grant the Company a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, non-exclusive, and unrestricted license to copy, reproduce, adapt, transmit, edit, modify, or otherwise use, publicly display, distribute, translate and create compilations and derivative works from, any and all User Content (in any format or media) that you submit to or through, the Platform; and (ii) waive all moral rights in and to all User Content that you post on, upload or otherwise submit to or through, the Platform in favour of the Company and those acting with our permission. For greater certainty, this means that, among other things, the Company has the right to use any and all ideas you submit (including ideas about our plans, services, publications or campaigns) in any manner that we choose, without any notice or obligation to you whatsoever.

We reserve the right to remove or moderate any User Content at our discretion, and without notice or liability to you or to any third party.

6. Email Communications & Consent

You may consent to receive electronic communications from us, including:

• Account-related notifications,
• Personalized recommendations and content, and
• Marketing and promotional messages related to Ontario wineries and experiences.

You may withdraw your consent and unsubscribe from marketing and promotional communications at any time by using the unsubscribe mechanism included in our emails. By creating an account and providing your contact information, you agree that you may receive legal notices regarding your account, such as notices of changes to these Terms, or our Privacy Policy.

7. Intellectual Property

All content, branding, design elements, and materials on the Platform ("Platform Content") are owned by or licensed to us and are protected by applicable intellectual property laws. No content may be copied, reproduced, or distributed without our prior written consent.

You acknowledge that the Platform Content is protected by all copyright, trademark, and other applicable intellectual property laws. Your use of the Platform does not grant or transfer to you any ownership or other rights in the Platform Content, and except as expressly provided, nothing herein or within the Platform shall be construed as conferring on you or any other person any license under any of the Company's or any third party's intellectual property rights, including, without limitation, any right to download, display, reproduce, distribute, modify, edit, alter or enhance any of the Platform Content in any manner whatsoever.

Any rights not expressly granted to you in these Terms are expressly reserved by the Company. For greater certainty, you agree that you will not take any action that is inconsistent with Company ownership of the Platform and/or Company ownership of, or any third party's ownership of, any Platform Content.

8. Third-Party Links

The Platform may contain links to third-party websites or services. These other websites may have their own privacy policies and terms and conditions that are not governed by these Terms or our Privacy Policy. Other websites may collect and treat information collected differently, so we encourage you to carefully read and review the privacy policy for each website you visit. We are not responsible for the content, policies, or practices of those third parties. Any links from our Platform to other websites, or references to products, services or publications other than those of Company, do not imply the endorsement or approval of such websites, products, services or publications by the Company.

9. Disclaimer of Warranties, and Limitation of Liability

To the fullest extent permitted by the applicable law, the Platform and all information contained on or accessed from the Platform is provided on an "as is" and "as available" basis, and without any representations, warranties or conditions of any kind, whether express or implied. All conditions, representations and warranties, whether express, implied, statutory or otherwise are hereby disclaimed to the fullest extent permitted by law.

Without limiting the generality of the foregoing, we make no representation or warranty that: (i) the Platform will be compatible with your computer and software; (ii) the Platform will be available or will function without interruption or error; (iii) the use of the Platform, including, without limitation, the browsing and downloading of any information, will be free of any viruses, trojan horses, worms or other destructive, intrusive or disruptive components; (iv) the transmission of information to and from the Platform will be secure; (v) the use of the Platform will not infringe the rights (including, without limitation, intellectual property rights) of any person; or (vi) the use of the Platform will not cause any damage to your computer systems, devices, software or electronic files.

Comments or opinions expressed on the Platform are those of their respective users only. The views expressed on the Platform and in User Content do not necessarily represent or reflect the views of Company. The Company is not responsible for, and disclaims all liability in relation to, the User Content posted, uploaded or otherwise submitted to or through the Platform.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities arising from use of the Platform. You expressly acknowledge that Company has entered into this agreement with you and makes the Platform available to you, in reliance upon the limitations and exclusions of liability and the disclaimers set forth herein, and that the same form an essential basis of the bargain between you and the Company. You expressly agree that the limitations and exclusions of liability and the disclaimers set forth herein will survive, and continue to apply in the case of a fundamental breach or breaches, the failure of essential purpose of contract, the failure of any exclusive remedy, or termination of these Terms.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of any revised Terms.

11. Termination

If you breach any provision of these Terms you may no longer use the Platform. We may, in our sole discretion, change, suspend or terminate, temporarily or permanently, the Platform or any part thereof or any of its features or content at any time, for any reason, without any notice or liability to you or any other entity. If these Terms or your permission to use the Platform are terminated by us for any reason, the agreement formed by your acceptance of these Terms will nevertheless continue to apply and be binding upon you in respect of your prior use of the Platform and anything relating to or arising from such use. If you are dissatisfied with the Platform or with these Terms, then your sole and exclusive remedy is to discontinue using the Platform. The Disclaimer of Warranties and Limitation of Liability and Intellectual Property provisions in these Terms shall survive any termination of these Terms.

12. General

If any provision of these Terms is held invalid or unenforceable by any court having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms shall continue in full force and effect. No failure to exercise or waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision of these Terms.

These Terms are binding upon you, your heirs, executors, beneficiaries, successors and assigns and you may not assign this agreement to any other party without our prior written consent, which may be withheld in our sole and absolute discretion.
